Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and AlliedHealthCareers, DBA WhiteBadge (“WhiteBadge,” “we,” “us,” or “our”). By accessing or using the WhiteBadge platform at app.whitebadge.io, our mobile applications, or any related services (collectively, the “Services”), you agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

WhiteBadge is a healthcare imaging staffing marketplace that connects radiology and imaging facilities (“Facilities”) with per-diem and contract imaging technologists (“Technologists”). Our platform provides shift posting, credential-based matching, timesheet management, approval workflows, invoicing, and payout processing.

3. Account Eligibility and Registration

For Technologists

  • You must be at least 18 years of age.
  • You must hold valid, current professional credentials (ARRT® certifications, state licenses, BLS, and applicable modality qualifications) as required for the shifts you accept.
  • You must pass a background check conducted through our third-party provider.
  • You are responsible for maintaining the accuracy of your credentials and notifying us of any changes, suspensions, or revocations.

For Facilities

  • You must be an authorized representative of a licensed healthcare facility or imaging center.
  • You are responsible for the accuracy of facility information, including location, equipment, and site requirements.
  • You are responsible for providing a safe and compliant work environment for all Technologists.

For All Users

  • You must provide accurate, current, and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable regulations.
  • Misrepresent your credentials, qualifications, identity, or affiliation.
  • Circumvent the platform to arrange staffing engagements directly with users you were introduced to through WhiteBadge.
  • Interfere with or disrupt the Services, servers, or networks.
  • Scrape, harvest, or collect data from the platform without authorization.
  • Share your account credentials with any third party.
  • Post false, misleading, or defamatory content.
  • Use the platform to send spam or unsolicited communications.

5. Shift Commitments and Cancellations

Technologists

When you accept a shift through WhiteBadge, you are making a commitment to the Facility. Failure to appear for a confirmed shift (“no-show”) or late cancellations may result in negative impact to your platform rating, temporary suspension, or permanent removal from the platform.

Facilities

When a Technologist confirms a shift, the Facility is expected to honor the engagement. Cancellation of confirmed shifts may be subject to cancellation policies as outlined in your facility agreement.

6. Payment Terms

Technologist Compensation

Technologists are compensated at the hourly rate displayed at the time of shift acceptance. Compensation is processed after timesheet approval by the Facility. Payouts are processed on a weekly cycle through our payment processors.

Facility Invoicing

Facilities are invoiced for approved timesheets according to their agreed-upon billing terms. Invoices include the platform fee in addition to technologist compensation. Payment terms and methods are established during onboarding.

7. Intellectual Property

The WhiteBadge platform, including all software, designs, text, graphics, logos, and trademarks, is the property of AlliedHealthCareers and is protected by intellectual property laws. “WhiteBadge” and the WhiteBadge badge logo are trademarks of AlliedHealthCareers.

You may not reproduce, distribute, modify, or create derivative works of any portion of the Services without our prior written consent.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WhiteBadge does not guarantee that the Services will be uninterrupted, error-free, or secure. We do not warrant the accuracy of the smart rate engine or any analytics provided through the platform.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLIEDHEALTHCAREERS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO WHITEBADGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless AlliedHealthCareers, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another party.

11. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state of Minnesota. Each party shall bear its own costs of arbitration.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us. Upon termination:

  • Your right to use the Services immediately ceases.
  • Any pending timesheets and approved payouts will be processed according to normal procedures.
  • Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, limitation of liability, indemnification, and dispute resolution.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

14. General Provisions

  • Governing Law: These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and WhiteBadge regarding the Services.
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
